Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the grade.dev review platform (the “Service”) provided by us. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Overview of the Service
grade is a hosted review surface for AI-generated artifacts. You (or an MCP-connected agent acting on your behalf) push markdown documents — including code blocks and mermaid diagrams — into a private review. Reviewers leave comments anchored to the actual passage, line, or block. The Service exposes a remote MCP endpoint at grade.dev/mcp that lets your agent push artifacts and pull feedback back.
2. Eligibility
You must be at least 16 years old and have the legal capacity to enter into these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you individually and the organization.
3. Accounts & API Keys
- You are responsible for maintaining the security of your sign-in email inbox and any API keys you generate.
- You are responsible for all activity that occurs under your account and API keys, including reviews and pages created by an MCP-connected agent on your behalf.
- API keys are shown to you once at issue and are stored only as salted hashes. If you lose the plaintext, revoke the key and issue a new one.
- Notify us at [email protected] if you suspect unauthorized access.
4. Your Content
- Ownership. You retain all rights to the markdown, code, diagrams, and other content you (or your agent) submit, and to the comments and annotations left on your reviews. We claim no ownership.
- License to operate. You grant us a worldwide, non-exclusive, royalty-free license to host, store, render, and transmit your content for the purpose of providing the Service — including delivering it to reviewers via the public link and back to your agent via MCP — for as long as the review exists.
- Reviewer comments. Comments and annotations are owned by the commenter. By leaving feedback you grant Lost Property and the review owner a license to host, display, and (in the case of the owner's agent) ingest the feedback through MCP.
- You are responsible for your content. Don't submit anything you don't have the right to submit. Don't submit content that infringes someone else's intellectual property or violates their privacy.
5. Acceptable Use
5.1 Permitted
You may use the Service to share artifacts you own or are authorized to share, collect feedback from people you've invited, and pull that feedback back into your own AI agents.

You agree not to:

- Submit content that is illegal, infringing, defamatory, harassing, or constitutes child sexual abuse material.
- Submit personal data (PII, health, financial) belonging to third parties without a legal basis to do so.
- Use the comment / annotation system to harass, dox, or threaten others.
- Use the Service to host malware, phishing pages, or content intended to deceive.
Platform integrity
- Probe, scan, or attack the Service or its infrastructure without written authorization.
- Bypass rate limits, generate API keys to circumvent quotas, or create multiple accounts to avoid enforcement.
- Reverse engineer, decompile, or attempt to extract source from the hosted Service.
- Resell, sublicense, or proxy access to the Service without our written consent.
- Use the Service to send spam through the magic-link or notification email channels.
Legal
- Use the Service in any way that violates applicable law, including export controls, sanctions, and data-protection regulations (GDPR, UK GDPR, CCPA, and equivalents).
- Use the Service in connection with high-risk activity where failure could cause death, personal injury, or significant property damage, without appropriate independent safeguards.
5.3 Reporting
Report violations to [email protected]. Report security vulnerabilities to [email protected].
5.4 Enforcement
We may investigate suspected violations and take proportionate action — issuing warnings, throttling or revoking API keys, removing offending reviews, suspending or terminating accounts, and reporting to law enforcement where required. We will make reasonable efforts to notify you before taking enforcement action, except where immediate action is needed to protect the Service, its users, or third parties.
6. Auto-Expiry & Deletion
Every review has a mandatory expiration date (default 30 days, max 180). When it passes, the review's public URL returns 410 Gone, the MCP returns expiredfor any tool targeting the review, and a daily job hard-deletes the review's child rows. You can extend (capped at 180 days from the time of extension — there are no forever links), shorten, or immediately delete a review at any time.
7. Pricing
At launch the Service is offered free of charge while we evaluate usage and infrastructure cost. We may introduce paid plans in the future; if we do, we will give you reasonable notice and you will not be charged without affirmative consent.
8. Availability
We aim to keep the Service available but do not guarantee uptime. Scheduled maintenance will be communicated in advance where practicable. The Service depends on third-party infrastructure (Vercel, Supabase, Resend); outages there will affect us.
9. Intellectual Property
- The Service — its code, design, and brand — is owned by Lost Property and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
- The grade name, logo, and visual identity may not be used without our prior written consent.
- Your content remains yours, as set out in Section 4.
10. Third-Party AI Clients & MCP
The Service is designed to be called by third-party MCP clients (e.g. Claude Code, Cursor, ChatGPT). We are not responsible for:
- How a third-party AI client uses, stores, or processes content returned by our MCP.
- The accuracy or behaviour of those clients, or actions an agent takes based on feedback pulled from the Service.
- Loss or compromise of your API keys through a third-party client you have configured.
Review the privacy and security practices of any AI client you connect.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT FEEDBACK COLLECTED THROUGH THE SERVICE WILL BE ACCURATE OR APPROPRIATE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOST PROPERTY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS. OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM AND (B) ONE HUNDRED US DOLLARS (USD 100).
13. Indemnification
You agree to indemnify and hold harmless Lost Property, its officers, directors, employees, and agents from any claim, demand, damages, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party right.
14. Termination
- You may close your account at any time. We will delete your account data (including your reviews and API keys) within 30 days, subject to legal retention obligations.
- We may suspend or terminate your access if you materially breach these Terms or if continued provision creates legal or operational risk.
- Sections that by their nature should survive termination (Sections 4, 11, 12, 13, 14, 16, 17, and 18) survive.
15. Force Majeure
We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, acts of war or terrorism, pandemics, government action, labour disputes, power or telecommunications outages, denial-of-service attacks, and failures of third-party infrastructure (including cloud hosting, compute, and database providers we depend on).
16. Modifications
We may modify these Terms. We will post the updated Terms here with a new “Last updated” date and, for material changes, notify active accounts by email. Continued use of the Service after the effective date constitutes acceptance.
17. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, except where applicable consumer-protection law gives you the right to bring proceedings in your country or state of residence.
18. General
- Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Lost Property regarding the Service.
- Severability. If any provision is found unenforceable, the remainder remains in effect.
- Waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
